Legal Issues for Private Limited Companies

While every company has its industry-specific laws covering the business operations of that company, but all companies working in different industries are incorporated under the Companies Act 2017 (previously Companies Ordinance, 1984), under which the matters relating from the incorporation till winding-up of a company are covered, including provisions relating to the Shares, Board, Management, Accounts, etc., which are required to be duly understood by the key officials of a company including Directors to comply with the same in order to mitigate the penal and/or legal risk.

It has been observed that in case of Private Limited Companies, the shareholders, who in most of the cases are Directors also, many times don’t have the professional support to comply with the requirements of the Companies Act, 2017, due to which these companies and/or shareholders/directors face penal actions by SECP and/or get trapped into litigation.

Therefore after the successful launch of function-specific workshop, i.e. ‘Legal issues for CFOs & Senior Finance Professionals’ for 11 times, TerraBiz in collaboration with M/s. Abrar Hasan & Co.- Advocates & Legal Consultants is now launching the current workshop focusing the legal issues under the Companies Act 2017, especially for Private Limited Companies.

The workshop has been designed to apprise the participants about the litigation risks, its control, and the Court’s process as well as its linkage with the internal legal framework of an organization, i.e. policies & procedures, to ensure compliance with the regulatory requirements under the Companies Act 2017.

This just one day workshop will facilitate the participants in understanding the Companies Act 2017 in relation to the operations and regulations of a company, litigation under the same to develop appropriate tools and techniques in order to effectively identify the legal issues therein and devising the proper strategy to tackle the same, side by side giving them an overview of the Court’s process so that the internal systems of an organization are aligned accordingly to cover the litigation risk to mitigate the same in order to ensure sustainability and long term growth of the businesses and if trapped in litigation, then the knowledge of court process in company litigation, terms, etc. will help the participants in effectively discussing the matters with lawyers to design an appropriate litigation strategy.

  8. Mergers & Acquisitions; an overview
  9. Summary of cases under the Companies Act 2017 (Companies Ordinance, 1984) especially regarding disputes between shareholders/directors.
  10. Cases studies of selected reported cases

Course material containing various charts, summaries and citations will help participants in understanding the laws as well as the content will help them in referring to the same in future also.
The facilitators of the workshop having both litigation and the practical experience of working in the Corporate Sector are duly poised for the workshop to smoothly take the participants through the course material.

Emad-ul-Hasan is a lawyer by profession and a practicing Advocate of High Courts and Supreme Court, dealing in all types of Civil matters especially Corporate, Commercial, Financial and Fiscal matters as well as Criminal matters relating to white collar crimes. So far Emad has appeared before various Courts, in number of cases and has many reported cases to his credit. Emad is the first and the only Fellow of Chartered Accountants from the Institute of Chartered Accountants of Pakistan, who got enrolled as Advocate Supreme Court of Pakistan.

Before starting legal practice full-time in 2006, Emad worked for around 21 years in External Audit, Tax Consultancy, Finance/Accounts and Internal Audit. He spent nine years with M/s. A.F.Ferguson & Co., Chartered Accountants in audit and tax departments, worked with United Bank Limited as one of the Financial Controller and also worked as Chief Accountant at Banque Indosuez, Karachi. He has an extensive internal audit experience at ABV Rock Group, a large Swedish construction company in Kingdom of Saudi Arabia, as Head of Audit and Compliance at Meezan Bank Limited and lastly served as Head of Internal Audit at Pakistan Industrial Credit & Investment Corporation (PICIC).

Emad is an acclaimed trainer. So far he has carried out 47 workshops/learning sessions/paper-reading. His workshop Legal Issues for CFOs, Company Secretaries, Compliance Officers and Senior Finance Professionals’ has been held for eleven (11) times at Karachi, Lahore and Islamabad and attended by around 356 participants. He is teaching Taxation at S.M.Law College as Honorary Lecturer and is also author of ‘Lawyers’ Manual-Volume 1 (How to institutionalize legal practice).
